Creating meeting of Beijing BBEF Digital Radio & TV Corporation was convened

18,
2001----According
to the fixed procedure in the Corporation Law of the People¡¯s Republic of China,
the creating meeting was convened on May 18, 2001 in the meeting room of BBEF
Electronics Group Co., Ltd. Repretatives from BBEF Electronics Group, main sponsor
of the stock company, and other 6 co-sponsors attended the meeting. The 6 co-sponsors
include New Auto Group, Tsinghua Maowu Information Technology Co Ltd, Lianrong
Technology
Co Ltd,
China Huarong Asset Management Corporation,
Equipment Factory of The State Administration of Radio Film And TV
and
DTVIA TechLabs Co Ltd.
On
the meeting, Repetitive of BBEF reported the founding procedure of the stock company;
fee took place in founding procedure and a report on the property used as share
capital of BBEF. Stockholders discussed and agreed these reports unanimously.
Stockholders also discussed and agreed the Constitution of the Corporation
unanimously. The meeting elected the Board of Directors composed of 9 persons.
The meeting also elected 7 Supervisors of the Corporation. Finally, all the stockholders
signed resolution and record of this meeting. The creating meeting was closed
after finishing all its procedure.
The first meeting of the Board of Directors was convened immediately.
The meeting elected Mr. Han Guang as Chairman of the Board, Mr. Zheng Fu-Shuang
as Vice Chairman of the Board. The Board of Directors decided General Manager
of the Corporation and secretary of Board of Directors according to nomination
of than Chairman. The Board of Directors also decided two Vice General Directors
of the Corporation according to nomination of the General Director. All Supervisors
attended the meeting as nonvoting delegates.
Supervisors also convened meeting on the same day. The meeting elects
Mr. Tang Yi as Chairman as Chairman of Supervisors.
